Terms of Service

These Terms of Service (“Terms”) govern access to and use of Kadran, including kadran.ir and app.kadran.ir. By creating an account or using the service, you agree to these Terms.

Kadran is a platform that lets organizations hire AI employees to help with work such as content creation, customer support, and data analysis, including optional connections to third-party services such as Google Analytics and Google Search Console.

1. The service

Kadran provides software, AI employees, workflows, knowledge tools, messaging integrations, and related features. We may add, change, or discontinue features. AI output is generated automatically and may be inaccurate, incomplete, or inappropriate for your use. You must review outputs before you rely on them or publish them.

2. Accounts and organizations

You must provide accurate information and keep your credentials secure. You are responsible for activity under your account and for members you invite to your organization. You must be able to form a binding contract and use Kadran only for lawful business purposes.

3. Subscriptions and payment

Paid plans, usage limits, and billing periods are shown in the app at the time of purchase. Fees are charged through third-party payment providers. Unless required by law or stated otherwise in the app, fees are non-refundable once a billing period has started. Unpaid invoices may lead to suspension of paid features.

4. Your content and instructions

You retain rights to content you upload (including knowledge bases, brand settings, and media). You grant Kadran a limited license to host, process, and display that content solely to operate the service for you. You represent that you have the rights needed to upload content and to connect third-party accounts.

5. AI employees and responsibility

• You are responsible for reviewing AI-generated content, reports, and actions before use.
• Kadran is not responsible for business, legal, financial, or publishing decisions made solely on the basis of AI output.
• You are responsible for complying with the terms of any platform you connect (including Google, Meta, WordPress, and messaging networks) and with advertising, copyright, and consumer laws that apply to your content.

6. Third-party services and Google APIs

Optional integrations let Kadran access services you connect. For Google, Kadran may request read-only access to Google Analytics and Google Search Console so AI employees can produce reports. Your use of Google features is also subject to Google’s terms and the Google API Services User Data Policy. You can disconnect integrations at any time. We are not responsible for outages, policy changes, or data practices of third-party providers.

7. Acceptable use

You may not: misuse the service; attempt to access other customers’ data; reverse engineer the platform except as allowed by law; send spam or unlawful content; overload the service; or use Kadran to violate others’ rights. We may suspend access if we reasonably believe these Terms are being violated.

8. Confidentiality

Each party will protect the other’s confidential information and use it only as needed to perform under these Terms. Organization data is handled as described in our Privacy Policy.

9. Intellectual property

Kadran, including its software, trademarks, and documentation, remains our property. These Terms do not transfer ownership of Kadran to you. Feedback you send may be used to improve the service without obligation to you.

10. Disclaimers

The service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI employees will achieve any particular business result or that the service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Kadran and its operators will not be liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of data, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amounts you paid to Kadran for the service in the three months before the claim.

12. Indemnity

You will defend and indemnify Kadran against claims arising from your content, your use of connected third-party services, or your breach of these Terms.

13. Termination

You may stop using Kadran at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or if we discontinue the service. After termination, your right to use the service ends. Provisions that by nature should survive (including sections 5, 8–12) will survive.

14. Changes

We may update these Terms. The “Last updated” date will change. Continued use after the effective date of a change constitutes acceptance, except where applicable law requires additional notice or consent.

15. Governing law

These Terms are governed by the laws of the Islamic Republic of Iran, without regard to conflict-of-law rules. Courts located in Tehran have exclusive jurisdiction, except that we may seek injunctive relief in any forum to protect intellectual property or confidential information.
